Your IPO Needs a European Chapter: How a Technology Partnership Strengthens Your Growth Story

Every company heading for an IPO in India faces the same question from investors: where will the growth come from?

Capacity, client lists and past revenue answer part of it. What investors and merchant bankers increasingly look for is something forward-looking, specific and verifiable. A genuine technology licence, joint venture or technology transfer with a European partner is one of the strongest answers a company can give.

Why a European partner matters

Europe has deep technology strength in auto components and EV, green energy and hydrogen, chemicals, pharma and medtech, machinery and automation, water and defence supply chains. For an Indian company, a tie-up with a European leader can mean three things.

First, access to proven IP and know-how that would take years and heavy R&D spend to build alone.

Second, export credibility. A European partner opens doors to regulated, quality-sensitive markets and strengthens the company’s standing with overseas buyers.

Third, a clearer path to margin expansion, through higher-value products, better processes and new revenue lines.

Together, these give the DRHP something concrete to say in its growth drivers section, rather than general ambition.

A word of caution: this is not a share price trick

No lawyer, adviser or merchant banker can promise that a partnership will lift the share price, and any pitch that suggests otherwise should be treated with suspicion. What a credible partnership can do is strengthen the equity story and give investors better evidence for the growth plan. Valuation then follows on merit.

For the same reason, the partnership must be real, material and properly disclosed. A thin MoU signed a month before filing, with no execution behind it, raises more questions than it answers. It can draw scrutiny from the regulator and the exchange, and it can cost investor trust.

Timing: start 9 to 18 months early

The partnerships that help most are those signed well before the DRHP is filed, with some real progress to show: a pilot, first orders, a joint product plan or initial technology transfer. Sourcing the right partner, negotiating terms and documenting the deal all take time. Companies that begin early have room to do it properly.

This applies equally to companies aiming for the SME platforms, NSE Emerge and BSE SME, and those aiming for the mainboard. For SME-listed companies, a European partner can close credibility gaps that matter a great deal to investors, and it can support a later migration to the mainboard.

The legal and regulatory side

A cross-border tie-up brings its own compliance work. Licence and JV agreements need careful drafting on IP ownership and protection, royalty and technology transfer terms, exclusivity and exit. FEMA, ODI and FDI rules apply depending on how the deal is structured, and the documentation must be disclosure-ready for the offer document.

Issuer publicity is also restricted during the offer period, so announcements about the partnership should be planned with the merchant banker and not made casually.

How Dealflow.eu and Ajmera Law International help

Dealflow.eu is a European deal-flow and innovation platform that connects technology companies, corporates and investors. Through our India-EU corridor work, we use it to identify European Startt-Up companies open to licensing, JV and technology partnerships with Indian businesses, so you start with a vetted shortlist and not a cold search.

Ajmera Law International then structures the deal and handles IP protection, FEMA, ODI and FDI compliance, and the documentation needed for disclosure.

Who should talk to us

Promoters and CFOs planning a listing in the next 18 months, merchant bankers and SME IPO consultants who want stronger growth-driver content for their issuers, and pre-IPO investors who want portfolio companies to list with a sharper story.

If an IPO is on your horizon, start the conversation early. Give investors a European growth story to believe in.
